These Terms & Conditions (“Terms”) govern your access to and use of Modavinio.com (the “Site”) and any services, features, or content provided by Cadova Media LLC, doing business as Modavinio (“Cadova Media LLC d/b/a Modavinio,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility & Account

You must be 18+, or have the consent and supervision of a parent/guardian. You are responsible for your account credentials and all activity under your account. Notify us of any suspected unauthorized use.

2. Permitted Use & Prohibited Conduct

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Engage in fraud, payment abuse, scraping, data mining, hacking, reverse engineering, or introducing malware.

• Interfere with Site operation or bypass any access or security measures.

• Use automated tools (bots, crawlers) except for standard search engine indexing.

• Post or transmit unlawful, infringing, defamatory, or misleading content.

We may suspend or terminate access for violations.

3. Independent Reseller Status & Trademark Notice

Modavinio is an independent multi-brand retailer. We are not affiliated with, sponsored by, or endorsed by the designer brands listed on this Site. All trademarks, logos, and brand names displayed are the property of their respective owners. The use of brand names and logos on this Site is strictly for descriptive purposes to identify the specific products being offered for sale (nominative fair use).

4. Intellectual Property; Limited License

All content on the Site—including product imagery, text, graphics, logos, and design—is owned by Modavinio or our licensors and is protected by IP laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. No rights are granted by implication or estoppel.

5. User Content (Reviews, Photos, Comments)

If you submit reviews, photos, or comments (“User Content”):

• You grant Modavinio a worldwide, royalty-free, sublicensable license to use, reproduce, display, modify, and distribute your User Content in connection with the Site, marketing, and social channels.

• You represent you own or control the rights in your User Content and it does not infringe others’ rights or violate law.

• We may moderate or remove User Content at our discretion.

6. Product Information, Availability & Pricing

We operate as an independent fashion outlet selling past-season, overstock, and clearance inventory. Due to the nature of this sourcing model, inventory changes quickly; products are subject to availability and may be limited in quantity.

Prices are shown in USD (or localized currency at checkout) and may change without notice. We may correct errors or inaccuracies (including pricing, description, or availability) and cancel or refuse orders placed with incorrect information, even after submission. If your payment has been captured, we will issue a full refund.

7. Orders, Payment & Tax

By placing an order, you authorize us and our payment processors to charge your selected payment method. You represent that the payment method is valid and you are authorized to use it.

• Payment Methods: We accept major cards and trusted payment providers displayed at checkout. We may use anti-fraud checks and may decline or cancel an order.

• Duties & Taxes:

  • US, EU & UK: We cover applicable import duties and taxes for these regions.

  • Other International: For all other destinations, import duties, taxes, and fees are the responsibility of the customer unless stated otherwise at checkout.

8. Shipping, Risk of Loss & Title

We ship to the destinations shown at checkout. Estimated delivery windows are estimates, not guarantees. Risk of loss and title pass to you upon delivery to the carrier (FOB origin), except where prohibited by law. We are not liable for delays outside our control (carrier delays, customs, force majeure).

9. Returns, Exchanges & Authenticity Guarantee

Our Shipping & Returns Policy governs returns, exchanges, and refunds; it is incorporated into these Terms.

Authenticity Guarantee: We guarantee that all items sold on Modavinio are 100% authentic. All products are sourced from legitimate channels, including authorized liquidators, overstock distributors, and verified independent suppliers. If you have concerns regarding the authenticity of an item, please contact us immediately for a resolution, which may include a full refund or replacement.

10. Promotions, Gift Cards & Credits

Promotions, coupons, and gift cards are subject to specific terms shown at issuance and may be changed or canceled at our discretion, as allowed by law. Promotional values may not be refunded; gift cards are redeemable only for eligible purchases and are not redeemable for cash except where required by law.

11. Third-Party Services & Links

The Site may contain links or integrations to third-party sites/services (payments, shipping, analytics, social media). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms.

12. Privacy & Cookies

Your use of the Site is subject to our Privacy Policy and Cookie practices. These are incorporated by reference. For EEA/UK users, we rely on appropriate legal bases for processing and recognized transfer mechanisms.

13. DMCA / IP Complaints

If you believe content on the Site infringes your rights, send a notice including your contact information, identification of the work, and a statement of good-faith belief to support@modavinio.com (Subject: IP Complaint).

14. Disclaimers

AS IS / AS AVAILABLE. The Site, content, and products are provided “as is” and “as available” to the fullest extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted/error-free operation. Applicable consumer rights in your jurisdiction remain unaffected where mandatory law provides otherwise.

15. Limitation of Liability

To the fullest extent permitted by law, Modavinio and its officers, directors, employees, agents, and suppliers are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages; or for lost profits, revenues, data, goodwill, or business interruption arising from or related to your use of the Site or purchase/use of products. Our aggregate liability to you for any claim will not exceed the amount you paid to Modavinio for the product(s).

16. Indemnification

You agree to defend, indemnify, and hold harmless Modavinio from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of any IP or other rights.

17. Governing Law; Dispute Resolution

• US Customers: These Terms are governed by the laws of the State of North Carolina, without regard to conflicts of law.

• Arbitration & Class Action Waiver (US only): Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the AAA under its Commercial Rules. You waive any right to a jury trial and to participate in a class or representative action.

• Non-US Consumers: Mandatory consumer rights and courts of your habitual residence may apply; arbitration/class waiver provisions apply only to the extent permitted by your local law.

18. Export, Sanctions & Compliance

You agree to comply with all applicable export control and economic sanctions laws, including those administered by the US (OFAC, BIS) and the EU/UK. You will not use the Site or purchase products for prohibited end-uses or destinations.

19. Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, shortages, pandemic, war, terrorism, government action, utility or communications failures, or carrier delays.

20. Changes to the Site or Terms

We may modify or discontinue any part of the Site at any time. We may update these Terms by posting the revised version and changing the “Last updated” date. Continued use constitutes acceptance. Where required by law, we will provide notice and/or obtain consent.

21. Termination

We may suspend or terminate your access at any time with or without cause, including for suspected fraud, abuse, or violation of these Terms. Upon termination, the license granted to you ends immediately.
